Terms of Service

Last updated: March 2026

These Terms of Service ("Terms") govern your access to and use of dmaxlabs.com (the "Website") and any services provided by DMAX Labs ("we", "us", or "our"). Please read these Terms carefully. By using our Website or engaging our services, you agree to be bound by these Terms.

Acceptance of Terms

By accessing dmaxlabs.com or initiating an engagement with DMAX Labs, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms (on behalf of yourself or your organization), and agree to comply with them in full.

If you do not agree with any part of these Terms, please do not use our Website or engage our services.

Services

DMAX Labs provides software development and consulting services including, but not limited to:

  • MVP development for startups and early-stage products
  • AI integration and custom automation solutions
  • Workflow automation using tools such as n8n and Make
  • Custom website design and development
  • Code review, refactoring, and production-readiness cleanup
  • GoHighLevel CRM and marketing automation setup

The specific scope, timeline, and deliverables for each engagement are defined in a written project proposal or statement of work agreed upon by both parties before work begins. Nothing on this Website constitutes a binding service agreement until a separate written proposal is accepted.

Engagement Terms

The following terms apply to client engagements with DMAX Labs unless otherwise agreed in writing:

Payment Structure

All projects operate on a 50/50 payment structure: 50% of the total project fee is due before work begins, and the remaining 50% is due upon delivery of final deliverables. Work will not commence until the initial payment is received.

Fixed Pricing

Project fees are fixed and defined in the agreed proposal. We do not charge hourly rates for fixed-scope projects. If the scope of a project changes materially after agreement, both parties will agree on a revised fee in writing before additional work proceeds.

Scope Definition

All work is governed by the scope defined in the project proposal. Features, deliverables, or integrations not listed in the proposal are outside scope and may require a separate engagement or change order.

Client Responsibilities

Timely delivery of required assets, feedback, and approvals is the client's responsibility. Delays caused by the client may extend project timelines accordingly.

Intellectual Property

Upon receipt of final payment, the client owns all custom code, designs, and other specific deliverables created by DMAX Labs under the engagement. Full ownership is transferred at this point, there are no licensing fees or ongoing royalties.

DMAX Labs retains the right to apply general knowledge, skills, methodologies, and non-confidential techniques learned during an engagement to future projects. We do not retain ownership of your specific business logic, proprietary data, or deliverables.

Third-party libraries, frameworks, and tools incorporated into deliverables remain subject to their respective open-source or commercial licenses. DMAX Labs will disclose any such dependencies as part of the project delivery.

Limitation of Liability

dmaxlabs.com and all information on it are provided "as is" without warranty of any kind. To the maximum extent permitted by applicable law, DMAX Labs disclaims all warranties, express or implied, including fitness for a particular purpose.

In no event shall DMAX Labs be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this Website or our services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from a service engagement shall not exceed the total fees paid by you to DMAX Labs for that specific engagement.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved through good-faith negotiation between the parties before any formal legal proceedings are initiated.
